DESCRIPTION:The course provides the basics for the successful execution of M&A transactions. Experts from a wide range of disciplines will offer participants a well-rounded overview of current transaction practice through an interdisciplinary exchange. \nIt is primarily directed at professionals with up to three years of professional experience from all areas of M&A practice (private equity funds\, companies\, banks\, corporate finance advisors). However\, interested parties who already have experience in M&A transactions can also expand their knowledge in individual areas here. \n\nM&A Lehrgang 2023\nfrom 14 September to 23 November 2023 | every thursday from [17:00] to [20:00] \nAgenda (all lessons in German only)\nSession 1 on 14 Sep 2023: The M&A process and preliminary agreements\nThe first unit presents the typical procedural and temporal flow of M&A transactions\, from the initial contact between the seller and its advisors to the closing of the transaction. \nSession 2 on 21 Sep 2023: Tax planning from the seller’s and buyer’s perspective\nThis chapter looks at the acquisition of a company from a tax perspective. Since the tax effects are directly relevant to the purchase price\, tax planning is of vital importance from both the seller’s and the buyer’s perspective. \nSession 3 on 28 Sep 2023: Financial\, Legal und Tax Due Diligence\nThe third session of the course deals with the preparation and execution of due diligence reviews on the buyer and seller side. \nSession 4 on 5 Oct 2023: Company purchase agreement\nThe company purchase agreement is the central element of every M&A transaction. It identifies the object of the purchase\, determines the purchase price and and distributes the risks between seller and buyer. \nSession 5 on 12 Oct 2023: Business valuation and purchase price\nThis part of the course first explains the basics and the various methods of business valuation and subsequently deals with the derivation of the equity value as the basis for the purchase price. \nSession 6 on 19 Oct 2023: Minority and majority shareholdings\nThis session explains the special features of the acquisition of majority and minority shareholdings. The central element here is the shareholders’ agreement between the acquirer and its future co-partners. \nSession 7 on 26 Oct 2023: Distressed M&A\nThis chapter deals with the specifics of the acquisition of companies in crisis and insolvency. \nSession 8 on 9 Nov 2023: Management participations\nToday\, management participation in the economic success of a company is one of the usual tools for increasing the company’s value. \nSession 9 on 16 Nov 2023: Acquisition financing | Antitrust law and investment control\nFinancing the purchase price through equity and debt capital is another key element of corporate acquisitions. Subsequently\, the antitrust and investment control requirements for M&A transactions are illustrated. \nSession 10 on 23 Nov 2023: Public M&A\nThe strategies and legal implementation of the takeover of a listed company are presented in the tenth part of the course. \nFurther information on the event and registration can be found here \n\n
